1. Acceptance

By accessing ensidex.com or engaging ENSIDEX LLC for any service or product subscription, you agree to these Terms of Service. If you do not agree, do not use the site or our services.

2. Services

ENSIDEX provides design, website, growth, engineering, automation, product subscription, and operations services described on this website. Specific scope, deliverables, fees, and timelines for any engagement are set in a separate written Statement of Work (SOW), order form, or checkout agreement, which controls over these general Terms where they differ.

3. Engagement formation

No contract forms through this website alone. A binding engagement requires a signed Master Services Agreement (MSA), Non-Disclosure Agreement (NDA) where applicable, and an executed SOW.

4. Fees and payment

All fees are quoted in U.S. dollars unless stated otherwise. Payment terms are set in the relevant SOW. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Disputed amounts must be raised in writing within 30 days of the invoice date.

5. Intellectual property

Unless the SOW provides otherwise, all pre-existing Ensidex IP remains our property. Upon full payment, deliverables specifically created for you under the SOW are assigned or licensed to you as specified in that SOW. Our methodologies, frameworks, tooling, and know-how remain ours.

6. Confidentiality

Each engagement is governed by a mutual NDA. We treat your information as confidential. You agree to treat our proprietary methods, pricing, and materials as confidential.

7. Warranties and disclaimers

We provide services with reasonable professional care. EXCEPT AS EXPRESSLY STATED IN A SIGNED SOW, ALL SERVICES AND THE SITE ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR THIS SITE SHALL NOT EXCEED THE FEES PAID BY YOU TO ENSIDEX IN THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Indemnification

You agree to indemnify Ensidex and its affiliates for third-party claims arising from your misuse of the services, your violation of these Terms, or your violation of any third-party right.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, U.S.A., without regard to conflict-of-laws principles. Exclusive jurisdiction lies in the state and federal courts located in Sheridan County, Wyoming.

11. Prohibited conduct

You agree not to:

  • Use the site for any unlawful purpose.
  • Reverse-engineer, decompile, or attempt to derive source code of any tools we publish.
  • Harvest or scrape data without written permission.
  • Interfere with the security, integrity, or performance of the site.
  • Impersonate any person or misrepresent your affiliation.

12. Changes to the Terms

We may update these Terms from time to time. The “Last updated” date will reflect the revision. Continued use of the site after changes constitutes acceptance.

13. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
